Salary: CAD $160,000 - $190,000 (base) + 15% bonus + equity

What you will do

• Lead legal due diligence on acquisitions across corporate, IP, employment, and regulatory dimensions.
• Draft and negotiate purchase agreements, disclosure schedules, and ancillary deal documents from LOI to closing.
• Manage relationships with external counsel and coordinate specialist advice based on deal complexity and jurisdiction.
• Provide day-to-day legal support to portfolio companies regarding commercial contracts, NDAs, and vendor agreements.
• Transition into a dedicated legal lead (Portfolio General Counsel) for a specific operating portfolio.

Requirements

• 5 to 7 years of legal experience with strong M&A transactional work at a mid-to-large law firm.
• Licensed to practice in Ontario (Law Society of Ontario member in good standing).
• Direct experience leading buy-side due diligence and negotiating purchase agreements.
• Knowledge of technology-specific legal issues including IP ownership, SaaS licensing, and data privacy.
• Strong communication skills to translate complex legal concepts for non-legal stakeholders.

Nice to have

• In-house experience at a technology company.
• Canadian or US cross-border M&A experience.
