What you will do

• Review, draft, and redline commercial agreements including MSAs, SOWs, NDAs, and SaaS subscription agreements.
• Manage the contract pipeline by tracking statuses, deadlines, and open items.
• Maintain and organize the contract repository, ensuring proper version control and accessibility.
• Coordinate with outside counsel, prepare necessary documents, and track billing.
• Support responses to fraud inquiries, subpoenas, and regulatory or government correspondence.
• Conduct legal research on data privacy, cross-border regulatory requirements, and SaaS commercial norms.

Requirements

• Paralegal certificate, law degree, or J.D. (non-practicing or pre-bar).
• 2–5 years of experience in a legal, law firm, or in-house corporate legal environment.
• Strong working knowledge of commercial contract structures and common SaaS agreement terms.
• Experience reviewing and negotiating NDAs, MSAs, and vendor agreements.
• Must be based in the United States.
• Proficiency with contract management tools and Microsoft Office / Google Workspace.

Nice to have

• Experience supporting a General Counsel in a tech or SaaS company.
• Exposure to data privacy regulations such as GDPR, CCPA, SOC 2, or HIPAA.
• Familiarity with cross-border commercial agreements in EMEA and APAC.
• Experience with e-signature platforms (DocuSign, Adobe Sign) and CLM tools.
