Law Clerk/Counsel (SaaS)

What you will do

• Review, draft, and redline commercial agreements, including MSAs, SOWs, NDAs, vendor contracts, and SaaS subscription agreements.
• Manage the contract pipeline by tracking status, deadlines, open items, and follow-ups, and conduct initial reviews of customer and vendor contracts.
• Maintain the contract repository, including executed agreements, version control, accessibility, templates, playbooks, and standard operating procedures.
• Coordinate with outside counsel by preparing documents, managing communications, and tracking billing.
• Support fraud inquiries, subpoenas, regulatory requests, government correspondence, employment documentation, legal research, and legal holds.
• Educate internal stakeholders, particularly Sales, on contract standards, liability positions, acceptable terms, and complex legal concepts.

Requirements

• Paralegal certificate, law degree, or J.D. that is non-practicing or pre-bar.
• 2–5 years of experience in a legal, law firm, or in-house corporate legal environment.
• Strong working knowledge of commercial contract structures and common SaaS agreement terms.
• Experience reviewing, redlining, and negotiating NDAs, MSAs, and vendor agreements.
• Exceptional written and verbal communication, including the ability to translate complex legal concepts for non-legal audiences.
• Strong organization, attention to detail, and ability to manage multiple priorities simultaneously.
• Proficiency with contract management tools, document management systems, Microsoft Office, and Google Workspace.

Nice to have

• Experience supporting a General Counsel or senior attorney in a technology or SaaS company.
• Exposure to GDPR, CCPA, SOC 2, or HIPAA-related data privacy requirements.
• Familiarity with cross-border commercial agreements involving EMEA and APAC.
• Experience with e-signature platforms such as DocuSign or Adobe Sign and CLM tools.
• Background in or exposure to cybersecurity, data loss prevention, or workforce analytics.
