Legal Counsel (PropTech)

Location: Remote-first role based in Toronto or Montreal, Canada, with occasional in-person attendance required for team meetings and key business activities.

Salary: $150K–$180K base pay.

What you will do

• Support acquisitions, divestitures, minority investments, and other strategic transactions.
• Conduct due diligence, negotiate transaction documents, manage legal risks, and coordinate with external counsel.
• Advise on public company disclosure obligations, securities compliance, regulatory filings, and stock exchange requirements.
• Support corporate governance initiatives, including Board and Committee materials.
• Partner with Finance, Corporate Development, Investor Relations, executive leadership, and external advisors on financial reporting, earnings releases, treasury activities, and equity compensation.
• Strengthen legal processes, corporate policies, governance practices, and documentation standards across global operations.

Requirements

• J.D. or LL.B. and admission to the Bar in a Canadian province.
• Experience in a leading law firm, public company, or both.
• Experience with public company disclosure, corporate governance, securities compliance, regulatory requirements, and stock exchange matters.
• Experience with mergers and acquisitions, divestitures, investments, due diligence, and negotiating transaction documents.
• Strong business judgment, legal risk assessment, organization, communication, and independent ownership skills.
• Ability to work from Toronto or Montreal with occasional in-person attendance.
