What you will do

• Support strategic transactions including acquisitions, divestitures, and minority investments.
• Advise on securities and corporate governance matters, including continuous disclosure and regulatory filings.
• Partner with Finance, Corporate Development, Investor Relations, and executive leadership on treasury activities and equity compensation programs.
• Identify legal and regulatory risks and provide commercially minded, practical legal guidance for decision-making.
• Collaborate with stakeholders across multiple jurisdictions and coordinate with external counsel.
• Improve legal processes, corporate policies, governance practices, and documentation standards.

Requirements

• J.D. or LL.B. and called to the Bar in a Canadian province.
• Experience supporting public company disclosure obligations, corporate governance initiatives, and securities compliance.
• Comfort reviewing disclosure documents, interpreting regulatory requirements, and working with securities regulators and stock exchanges.
• Transaction experience across mergers and acquisitions, divestitures, investments, and negotiating transaction documents with due diligence support.
• Ability to balance legal/regulatory risk with commercial objectives and provide actionable advice aligned with business goals.
• Strong ownership mindset: proactive, responsive, highly organized, and able to manage competing priorities.
