TL;DR

Commercial Counsel (Legal): Managing the full commercial contracting lifecycle for a global SaaS platform with an accent on drafting and negotiating complex agreements including MSAs, partner contracts, and data privacy addenda. Focus on driving deal velocity, advising Sales and Procurement teams on risk, and integrating AI-assisted workflows into legal operations.

Location: Must be based in the United States

Salary: $90,000–$120,000

What you will do

• Draft, review, and negotiate a wide range of commercial contracts including MSAs, SaaS agreements, and partner contracts for AMER, EMEA, and APAC regions.
• Serve as the primary legal point of contact for Sales, Partnerships, and Procurement functions.
• Advise stakeholders on risk trade-offs and creative deal structures to maintain high contract velocity.
• Negotiate data privacy agreements including DPAs, BAAs, and compliance frameworks like GDPR and CCPA.
• Optimize contracting playbooks and implement AI-driven legal workflows to improve efficiency.
• Identify and escalate material risks while building internal approval frameworks.

Requirements

• J.D. with active bar membership in at least one US state.
• Up to 3 years of legal experience in commercial contracting, preferably in-house.
• Experience with SaaS agreements, vendor contracts, and data privacy fundamentals.
• Familiarity with channel and partner models such as MSP, reseller, and distributor structures.
• Strong ability to communicate legal risk in plain language to non-lawyers.
• Genuine interest in AI-assisted legal tools and workflow automation.
