Sr. Counsel (Private Equity)

TL;DR

Sr. Counsel (Private Equity): Providing legal expertise for investments in private equity, real estate, and private debt with an accent on regulatory compliance and transaction documentation. Focus on negotiating subscription agreements, fund agreements, and managing legal risks for general account investments.

Location: Must be based in or be able to relocate to Minneapolis, MN (hybrid, 3 days on-site per week)

Salary: $216,341 - $292,696 per year

What you will do

• Provide legal support for General Account investments, primarily focusing on private equity and private debt.
• Review and negotiate complex documentation, including subscription agreements, side letters, and fund agreements.
• Manage transaction lifecycles, including closings, amendments, waivers, restructurings, and workouts.
• Oversee outside counsel and serve as the primary liaison between external legal experts and internal business teams.
• Develop and recommend company policies regarding legal and regulatory issues.
• Provide education and training to company personnel to ensure compliance with applicable laws.

Requirements

• Juris Doctorate and active membership of the bar.
• Licensed to practice in any U.S. jurisdiction (must waive into or pass the Minnesota Bar if hired).
• 7+ years of relevant, high-quality legal experience.
• Substantive knowledge of private equity, M&A, corporate transactional, or capital markets law.
• Experience representing sponsors in fund formation or representing clients in private equity-related matters.
• Must be able to relocate to the Minneapolis area; this is not a remote role.

Nice to have

• Experience with equity co-investments and private equity fund investments from an investor's perspective.
• Financial regulatory experience, specifically within insurance or securities.
• Proven ability to influence senior management and develop creative business solutions.
