What you will do

• Advise on securities laws and corporate governance to ensure legal and policy compliance.
• Prepare and review SEC and Nasdaq filings, including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
• Administer compliance policies for Sarbanes-Oxley, Nasdaq, and SEC regulations.
• Manage virtual annual stockholder meetings and coordinate with proxy advisory services.
• Oversee subsidiary governance and legal entity management operations globally.
• Support M&A, corporate transactions, and complex strategic initiatives.

Requirements

• Juris doctorate degree from an accredited law school and active state bar membership in good standing.
• 12+ years of relevant legal experience, with at least 8 years in-house at public-traded technology companies.
• Strong expertise in securities and corporate governance for U.S. public companies.
• Deep knowledge of corporate law principles, regulations, and best practices.
• Ability to work independently and collaboratively across all levels of a fast-paced organization.
• Must be based in San Mateo, CA.
