Assistant General Counsel (Corporate Law)

Location: Must be based in or able to commute to North Andover, MA (Hybrid: 3 days in-office, 2 days remote)

Salary: $190,000 - $210,000 yearly

What you will do

• Review, draft, and negotiate diverse commercial agreements, including vendor, customer, and R&D contracts.
• Manage legal aspects of SEC filings, including 10-K/Q, 8-K, and Section 16 reports.
• Support all legal phases of domestic and international mergers, acquisitions, and divestitures.
• Oversee corporate recordkeeping and subsidiary management.
• Advise on corporate governance, investor relations, and insider trading policies.
• Collaborate cross-functionally to address regulatory, antitrust, and commercial legal matters.

Requirements

• Juris Doctor (JD) degree from an accredited law school.
• 5+ years of experience in corporate, securities, and M&A matters.
• Ability to work on-site in North Andover, MA three days per week.
• Strong working knowledge of federal securities and contract laws.
• Experience negotiating complex commercial agreements.
• Excellent communication skills and ability to advise senior-level management.
