Hybrid in South San Francisco, CA. Candidates must be authorized to work in the U.S. California bar admission or eligibility to register as California in-house counsel required.

From $250,000 to $280,000 per year

Clinical-stage biotechnology company pioneering allogeneic CAR T cell therapies for cancer and autoimmune disease.

What you will do

• Draft, review, and coordinate SEC filings including 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
• Advise on corporate governance, Nasdaq compliance, Delaware law, insider trading policies, and Regulation FD.
• Support Board and committee processes with meeting materials, resolutions, minutes, and consents.
• Manage annual meeting and proxy season including shareholder logistics.
• Draft and negotiate corporate and commercial agreements for partnerships, licensing, M&A, and collaborations.
• Handle legal aspects of strategic transactions including due diligence and post-closing implementation.
• Provide business-oriented legal advice to cross-functional teams and manage outside counsel.

Requirements

• J.D. from accredited law school and active membership in at least one U.S. state bar. California bar admission or eligibility required.
• At least 8 years of relevant corporate/securities experience, including at law firm or in-house public company.
• Significant experience with SEC reporting, corporate governance, proxy statements, Section 16, and disclosures.
• Experience with Board support, governance policies, Nasdaq requirements, and Delaware corporate law.
• Experience drafting/negotiating corporate/commercial agreements; strategic transactions preferred.
• Authorized to work in the U.S.
