TL;DR

Corporate Counsel (AI): Leading corporate legal strategy, governance, and legal operations for an enterprise agentic AI platform with an accent on commercial contracting and AI governance. Location: Remote (Must be based in the US and hold membership in a U.S. state bar)

What you will do

  • Draft, review, and negotiate commercial agreements, including SaaS contracts, MSAs, and NDAs.
  • Own cap table management, equity incentive plans, stock option programs, and 409A valuations.
  • Advise on executive compensation structures and draft employment agreements for senior leadership.
  • Oversee subsidiary governance and manage global entity structure for international expansion.
  • Support investor relations, reporting obligations, and preparation for fundraising.
  • Build and scale legal operations, including CLM systems, playbooks, and automation workflows.

Requirements

  • J.D. from a top-tier law school and membership in good standing with at least one U.S. state bar.
  • 5-8 years of corporate legal experience in law firms or high-growth technology companies.
  • Strong expertise in commercial contracting within the SaaS and tech sectors.
  • Experience with multi-state business registration and U.S. employment law compliance.
  • Familiarity with Canadian labor laws and cross-border employment considerations.
  • Knowledge of data privacy laws (GDPR, CCPA) and emerging AI regulations.
