TL;DR

Manager, Corporate Development Accounting (Valuation/AI): Owning the valuation workstream for M&A transactions and strategic investments including purchase price allocations, fair value measurements, intangible asset and goodwill impairment analyses with an accent on financial modeling, ASC compliance, and third-party specialist management. Focus on building DCF and option pricing models, monitoring investment performance, championing AI productivity tools like Claude for Excel in accounting workflows, and preparing audit-ready documentation.

Location: Hybrid prioritized in New York, NY / Sunnyvale, CA / Dallas, TX; remote considered for candidates located more than 30 miles from an office. Must be a U.S. person or eligible for export-controlled information access per U.S. regulations.

Salary: $115,000–$153,000 base + bonus, equity, benefits.

What you will do

  • Lead purchase price allocations under ASC 805, managing third-party valuations and reviewing reports for accuracy.
  • Own fair value measurements for intangibles, contingent consideration, and impairment analyses under ASC 350/360/820.
  • Perform valuations for strategic investments using option pricing, scenario analyses, and market benchmarking under ASC 321/323.
  • Build and maintain financial models like DCF, MPEEM, relief-from-royalty for acquisitions and impairments.
  • Reconcile balances to NetSuite, prepare 10-Q/10-K disclosures, and monthly presentations on transactions and performance.
  • Champion AI tools across CAO: train on Claude/ChatGPT/Copilot, develop best practices, troubleshoot, and drive adoption.

Requirements

  • 4–7 years in Big 4 valuation/transaction advisory or in-house M&A/FP&A with purchase price allocations, fair value, impairments.
  • Strong Excel financial modeling: DCF, MPEEM, option pricing from scratch.
  • Solid knowledge of ASC 805, 820, 350, 360; plus ASC 810/323/321.
  • CPA/ASA candidate preferred; CFA/ABV valued; Bachelor’s in finance/accounting/economics.
  • Proficiency with AI tools (Claude, ChatGPT, Copilot) for non-technical users.
  • Attention to detail, communication, multi-tasking in fast-paced environment.

Nice to have

  • Passion for valuation challenges, AI-accounting intersection, M&A in cloud AI.
  • Experience with complex securities, SOX documentation, investment monitoring.
