TL;DR

Commercial Counsel (AI): Drafting, reviewing, and negotiating commercial agreements for generative AI models and platforms with an accent on API licensing, enterprise SaaS, partnerships, and cross-border US-EU deals. Focus on advising on AI-specific legal issues like IP ownership, training data rights, regulatory compliance, and scalable contract frameworks.

Location: Freiburg im Breisgau, Germany or San Francisco, US. Hybrid: at least 2 days a week in office (or one full week every other week), or remote with a monthly in-person week. Travel costs covered.

Base Annual Salary: $200,000-$275,000 + Equity

What you will do

  • Draft and negotiate commercial agreements including API licensing, enterprise SaaS, model access, partnerships, vendor deals, and NDAs.
  • Support US and EU transactions with primary focus on US deals; advise on German corporate law.
  • Partner with GTM, Marketing, FDE, Infrastructure, and Finance teams on practical legal guidance.
  • Advise on AI legal matters: IP ownership/licensing, training data rights, generative AI regulations.
  • Develop scalable legal frameworks, templates, playbooks, and workflows.
  • Manage outside counsel and contribute to compliance/legal operations.

Requirements

  • 7+ years legal experience in technology sector commercial transactions; ideally in-house and law firm, startup/high-growth advantageous.
  • Experience negotiating complex tech agreements: software licensing, API/platform deals, data/content, partnerships.
  • Support for US and EU deals; cross-border transactions and jurisdictional differences.
  • Excellent drafting/negotiation skills; identify issues quickly and communicate to non-lawyers.
  • Low ego, high accountability; handle routine and high-stakes deals.

Nice to have

  • AI/ML, developer platforms, foundational model licensing.
  • Generative AI exposure; understanding of AI product build/license/deployment.
  • JD + active US bar; UK/EU qualification preferred.
  • German corporate law, EU AI Act, GDPR, international AI/data regs.
  • IP, copyright, data licensing in AI training/model development.
