What you will do

• Design and implement a corporate governance framework to transition the company from private to public-market-ready.
• Lead legal workstreams for M&A, joint ventures, and strategic investments, managing the full deal lifecycle.
• Own the Board of Directors and Committee processes, collaborating with the CLO and CEO on agendas and minutes.
• Lead international expansion, including entity formation and regulatory compliance across EMEA, APJ, and other regions.
• Advise the HR team on executive compensation, global equity incentive plans, and employment matters.
• Build and scale Legal Ops processes, templates, and playbooks to drive operational efficiency.

Requirements

• J.D. with 6+ years of combined experience at a Tier 1 law firm (Capital Markets/M&A) and in-house at a high-growth technology company.
• Must be based in the United States.
• Proven experience navigating the transition from private to public, ideally having been involved in an IPO or major multi-billion dollar exit.
• Deep expertise in corporate law, SEC reporting, and equity plan management.
• Experience managing multinational corporate structures and Permanent Establishment risks.
• Ability to provide business-first legal advice with high velocity and ownership.
