What you will do

• Advise on securities laws compliance, including the Securities Act, Exchange Act, and SEC regulations.
• Support equity and debt offerings, public/private placements, and reinsurance transactions.
• Structure and negotiate complex financing, including syndicated loans and credit facilities.
• Guide senior management and the board on corporate governance matters.
• Lead securities and financing aspects of M&A transactions, including due diligence and execution.
• Collaborate with finance, treasury, and tax departments to optimize liquidity and financing flexibility.

Requirements

• Juris Doctor (JD) degree from an accredited law school and active bar membership in good standing.
• 5-7 years of legal experience at a top-tier law firm or in-house department focusing on securities and corporate finance.
• Deep knowledge of U.S. securities laws (Sarbanes-Oxley, Dodd-Frank, SEC reporting).
• Demonstrated experience in handling high-value, complex financing transactions.
• Must be based in the USA.

• Experience in healthcare and insurance industries.
• Experience with the review of statutory filings.
• Exposure to leveraging AI tools for financial reconciliations and data collection.
