What you will do

• Review and draft complex B2B contracts for R&D operations, including facilities lease, insurance, and equipment purchase.
• Support the launch of new R&D streams from initial incorporation to handover to operating teams.
• Manage US/UK corporate governance, including board/shareholder actions and cap table management.
• Handle IP and R&D contracting, patent acquisitions, and invention assignments.
• Draft and negotiate transaction documents for minority/majority investments and spin-outs (SPAs, SHAs).
• Lead transactions from due diligence through to closing, focusing on IP matters.

Requirements

• Main experience with US/UK legal frameworks.
• 5+ years of professional experience in contract law across various contract types.
• Proven experience in supporting the launch of new businesses.
• Background as a corporate counsel within VC, startup, or scale-up environments.
• Preferred location: Europe.
• Excellent command of English; Russian language skills are preferable.
