What you will do

• Draft, review, and negotiate commercial agreements including SaaS, hardware, MSAs, and subcontracts for US Federal and SLED.
• Lead complex public sector technology transactions and provide strategic legal guidance across the procurement lifecycle.
• Review RFPs, RFIs, and proposal materials to identify legal, compliance, and operational risks.
• Advise internal stakeholders on FAR, DFARS, and government contracting best practices.
• Partner with Sales, Engineering, and Security teams to structure transactions aligned with business objectives.
• Manage outside counsel and develop scalable legal templates, playbooks, and operational processes.

Requirements

• J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar.
• 7+ years of experience supporting commercial transactions and/or government contracts.
• Significant experience drafting and negotiating technology, SaaS, or public sector commercial agreements.
• Strong familiarity with U.S. government procurement laws and regulations, including FAR and DFARS.
• Must be based in the continental United States.

Nice to have

• Experience in AI, cybersecurity, or defense-focused technology companies.
• Familiarity with government procurement vehicles (GSA, GWACs, IDIQs) or security frameworks (FedRAMP, CMMC, NIST).
• Knowledge of export controls, ITAR, or government software licensing.
• Active U.S. security clearance or eligibility to obtain one.
