What you will do
- Draft, review, and negotiate commercial agreements: MSAs, order forms, SaaS subscriptions, pricing amendments, and procurement contracts.
- Negotiate directly with enterprise customers on licensing, data processing, security, and compliance terms.
- Drive Legal process innovation using AI tools, automation, and systems to reduce friction for Sales.
- Support renewals, upsells, and enforcement with pricing changes, scope expansions, and escalations.
- Maintain negotiation playbooks, pre-approved positions, and frameworks for efficient deal closure.
- Advise on regulatory developments and contract matters across Sales, Finance, and Leadership.
Requirements
- JD from accredited US law school and active membership in good standing in at least one US state bar (preferably North Carolina).
- 2+ years relevant legal experience in-house or at law firm (non-legal business experience counts).
- Exposure to international SaaS commercial terms.
- Familiarity with AI tools in legal work and ability to leverage them effectively.
- Proven ability to independently draft, negotiate, and finalize complex contracts with attention to detail.
- Excellent communication skills to translate legal concepts into business guidance.
Nice to have
- In-house experience at B2B software/technology company.
- Familiarity with EU frameworks (GDPR, DORA, European Accessibility Act).
- Experience with international customers and multi-jurisdictional structures.
- Background in IP/software licensing, data privacy, or security compliance.
- Experience with contract management tools or Jira-based workflows.
