Internal Counsel

TL;DR

Internal Counsel (Contracts & Compliance): Own end-to-end client and vendor contract processes, handle disputes, HR advisory, and corporate governance with an accent on data privacy, GDPR, and multi-jurisdictional regulations. Focus on drafting, negotiating agreements, providing practical legal guidance, and balancing risks with business objectives in a global organization.

Location: Remote work-from-home (ideally in EST or CST; some travel required for meetings and events)

Salary: $160-180K base + bonus (depending on location and experience)

What you will do

• Own client contracts: draft, review, negotiate services agreements, redline terms with sales team.
• Manage vendor contracts: review agreements for compliance, data privacy, security standards.
• Handle disputes: provide guidance on routine matters, liaise with external counsel, draft legal correspondence.
• Advise HR: support employment questions, policy compliance, employee relations.
• Support corporate governance: draft resolutions, coordinate entity management and filings.
• Maintain contract records, monitor timelines, ensure accuracy and clear communication.

Requirements

• J.D. and active bar membership (or retired in good standing)
• 8+ years legal experience with deep contract law expertise
• Prior in-house or agency/services industry experience preferred
• Experience with data privacy (GDPR, cross-border transfers, DPAs) strongly preferred
• Comfortable with international contracts and multi-jurisdictional issues
• Strong communication skills, independent decision-making
