What you will do

• Lead negotiation and execution of all commercial agreements including MSAs, SaaS subscriptions, DPAs, BAAs, and NDAs.
• Establish a risk tiering framework and a comprehensive contract playbook with standard paper libraries.
• Manage AI and data licensing negotiations, including data use rights, model risk provisions, and IP indemnification.
• Oversee employment and contractor agreements and advise the People team on multi-state and international compliance.
• Act as the primary legal liaison to the board on corporate governance, equity records, and corporate filings.

Requirements

• J.D. from an accredited law school and active bar admission in good standing.
• 8-10 years of legal experience, including 3-4 years at a law firm and 5-6 years in-house at a B2B SaaS company (Series B-D).
• Deep expertise in commercial SaaS contracts and substantive AI and data licensing experience.
• Proven experience with data privacy regulations including GDPR, CCPA, and SOC 2.
• Track record of building legal infrastructure from scratch, including templates and CLM implementations.
• Must be based in the USA.

Nice to have

• Experience at a B2B SaaS company serving professional services, fintech, or regulated industries.
• Familiarity with agentic AI or AI infrastructure agreements.
