Senior Counsel, Corporate

Location: Los Angeles, New York, or San Francisco; office attendance expected 4+ days per week under hirify.global's “default together” policy.

Base salary: $213,000–$377,000 annually depending on pay zone; eligible for RSUs.

What you will do

• Support acquisitions, investments, strategic transactions, financings, securities matters, tax matters, and corporate governance.
• Conduct acquisition due diligence and draft, review, and negotiate acquisition and ancillary agreements.
• Review and manage investment transactions, including equity and convertible debt agreements.
• Support capital markets activities, senior debt and convertible note issuances, debt repurchases or conversions, and stock repurchases.
• Prepare SEC filings, oversee governance and administration for hirify.global and its subsidiaries, and manage international outside counsel and local filings.
• Advise cross-functional stakeholders on legal risks, business issues, policies, strategy, document structures, and AI efficiency initiatives.

Requirements

• J.D. from an accredited law school.
• Active membership in at least one U.S. State bar.
• 8+ years of experience practicing corporate law in-house or at a law firm.
• Strong business judgment, attention to detail, and practical and creative problem-solving skills.
• Ability to work independently and collaboratively, manage multiple projects, meet tight deadlines, pivot quickly, and communicate effectively across all organizational levels.
• Ability to apply legal knowledge and creativity to develop appropriate documents or structures.
• Ability to use AI resources to improve accuracy and efficiency in daily work.

Nice to have

• 8+ years of experience handling M&A, investment, and financing transactions.
• Significant practical experience leading strategic transactions and negotiating and drafting related legal documents.
• In-house experience at an internet, e-commerce, or technology company.
