TL;DR
Senior Counsel, Corporate: Collaborate with the Corporate Legal team on acquisitions, investments, strategic transactions, financings, securities, tax matters, and corporate governance with an accent on M&A due diligence, transaction agreements, and post-closing integrations. Focus on negotiating equity and debt agreements, preparing SEC filings, managing international subsidiaries, and implementing AI efficiency initiatives.
Location: Los Angeles, New York, or San Francisco (office 4+ days per week per "Default Together" policy)
Salary: $213,000–$377,000 base annually (depending on pay zone: CA/WA/NYC higher) + RSUs

What you will do
- Handle acquisitions: due diligence, draft/negotiate agreements, post-closing integration, and claims.
- Manage investments: review transactions, draft equity/convertible debt agreements.
- Support corporate finance: capital markets, debt issuance/repurchases, stock repurchases.
- Prepare SEC filings (10-K, 10-Q, 8-K) and advise on securities law.
- Oversee corporate governance for Snap and subsidiaries, including local filings and records.
- Collaborate cross-functionally with execs, finance, tax, and others on business/legal issues.
Requirements
- J.D. from accredited law school + active U.S. State bar membership
- 8+ years practicing corporate law (in-house or law firm)
- Strong business judgment, attention to detail, practical/creative problem-solving.
- Ability to handle tight deadlines, juggle projects, communicate effectively, and use AI tools.
- Work independently and collaboratively in fast-paced environment.
Nice to have
- 8+ years in M&A, investments, financings; leading strategic transactions.
- In-house experience at internet/e-commerce/tech company.
