Senior Corporate Counsel (AI Infrastructure)

Location: San Francisco Presidio HQ or Bellevue, United States; onsite.

Salary: $193,568–$241,960 USD annual base salary, plus equity and subsidized benefits.

What you will do

• Own corporate governance matters, including board and committee materials, resolutions, minutes, consents, and corporate records.
• Lead legal workstreams for mergers and acquisitions, investments, financing transactions, and strategic partnerships from diligence and structuring through close.
• Manage subsidiary governance and entity operations across domestic and international jurisdictions, including formations, qualifications, filings, compliance, and local counsel.
• Manage equity matters, including award documentation, cap table coordination, 409A processes, and employee equity programs.
• Develop corporate policies, compliance programs, risk management processes, legal templates, playbooks, workflows, and scalable operational processes.
• Advise Finance, People, Operations, leadership, and business stakeholders; manage outside counsel; mentor junior legal team members; and provide practical guidance on complex, ambiguous matters.

Requirements

• J.D. from an accredited law school and active membership in at least one U.S. state bar.
• 6+ years of relevant legal experience, including training at a top law firm.
• Deep expertise in corporate law, commercial transactions, and corporate governance.
• Demonstrated ability to independently lead strategic transactions, financing matters, and M&A from diligence through close.
• Exceptional drafting, negotiation, organizational, and project management skills, including the ability to manage multiple complex workstreams in parallel.
• Ability to translate complex legal concepts into practical, decision-ready guidance for executives and business stakeholders.
• Ability to operate autonomously in a fast-paced, evolving environment with minimal oversight and sound judgment where precedent is limited.
• Experience building legal processes, policies, and playbooks from the ground up.
• Strong attention to detail, a proactive solutions-oriented mindset, excellent judgment, persuasion, communication, collaboration, and prioritization skills.
• Ability to work in a high-growth environment where priorities shift and no task is too big or too small.
