What you will do

• Design and implement the corporate governance framework required for the transition from a late-stage private company to a public-market-ready enterprise.
• Lead legal workstreams for M&A, joint ventures, strategic investments, financing rounds, secondary offerings, and debt facilities.
• Own Board of Directors and committee processes, including agendas, minutes, and board preparation.
• Lead international expansion efforts covering entity formation, intercompany agreements, local compliance, and subsidiary governance across EMEA, APJ, and other markets.
• Advise Finance, Tax, and People teams on executive compensation, global equity plans, tax structuring, insurance, employment matters, and corporate audits.
• Build Legal Ops processes, templates, and playbooks to improve efficiency.

Requirements

• J.D. and 6+ years of combined experience at a Tier 1 law firm focused on capital markets or M&A and in-house at a high-growth, late-stage technology company.
• Experience navigating the transition from private to public, ideally including an IPO or major multi-billion-dollar exit.
• Deep expertise in corporate law, SEC reporting, and equity plan management.
• Experience managing multinational corporate structures and permanent-establishment risks during international expansion.
• Ability to provide business-first legal advice and build a corporate legal function from scratch.
