Corporate Counsel (AI)

Location: San Francisco, California, or remote for qualified candidates within the United States

Annual base salary: $200,000–$230,000, plus equity and benefits.

What you will do

• Prepare board and stockholder consents, resolutions, meeting materials, and maintain corporate records.
• Support equity management, subsidiary governance, entity formations, and officer and director appointments.
• Support financings, secondary transactions, M&A diligence, disclosure schedules, and outside counsel management.
• Draft, review, and negotiate strategic partnership, customer, vendor, SaaS, and procurement agreements.
• Advise sales, partnerships, finance, product, operations, Procurement, Security, and IT on deal structure, risk, intellectual property, privacy, and regulatory issues.
• Maintain contract templates, playbooks, and guidelines, train internal teams, and use generative AI tools to streamline legal work.

Requirements

• JD and active bar membership in good standing in at least one U.S. jurisdiction.
• 3–6 years of corporate experience at a law firm and/or in-house at a technology company.
• Hands-on corporate governance experience and exposure to venture financings, M&A diligence, and/or disclosure schedules.
• Meaningful experience drafting and negotiating partnership, SaaS/technology, and procurement agreements.
• Understanding of intellectual property, data protection, and privacy issues in software agreements.
• Experience using generative AI tools such as Claude in legal work, with strong communication, negotiation, and issue-spotting skills.
