What you will do

• Prepare and review SEC filings including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Develop and maintain policies for compliance with Sarbanes-Oxley, Dodd-Frank, and NYSE listing standards.
• Advise the board of directors, CEO, and CFO on corporate governance and CSR/ESG initiatives.
• Lead legal activities for strategic transactions, including M&A and corporate financing.
• Manage investor relations matters, including earnings announcements and securities disclosures.
• Serve as the primary legal contact for Corporate Development, drafting and negotiating complex commercial agreements.

Requirements

• Juris Doctor degree and must be licensed in Massachusetts.
• Minimum of 5-7 years of private firm or in-house legal experience.
• Broad experience with corporate, securities, and M&A transactional matters.
• Proven experience supporting corporate governance for public companies.
• Strong analytical skills and a business-oriented approach to legal counseling.
