Director, Securities and Corporate Counsel (Cybersecurity)

Location: Burlington, Massachusetts; candidates must live within commutable distance. Hybrid working model.

Salary: $209,000–$263,600 per year, plus bonus eligibility.

What you will do

• Lead global securities law matters and prepare SEC filings, including Forms 10-K, 10-Q, 8-K, registration statements, proxy materials, and Section 16 reports.
• Develop and maintain compliance policies covering Sarbanes-Oxley, Dodd-Frank, NYSE listing standards, Regulation FD, and insider trading.
• Advise the board, CEO, CFO, executives, and business teams on corporate governance, executive compensation, investor relations, and securities disclosures.
• Support corporate secretarial activities, board and committee meetings, annual shareholder meetings, and equity plan administration.
• Lead legal workstreams for M&A, corporate financing, acquisition diligence, purchase documents, and funding documents.
• Manage outside counsel, negotiate complex commercial agreements, and deliver employee training on securities law and strategic transactions.

Requirements

• Juris Doctor degree and Massachusetts bar admission.
• Five to seven years of private practice and/or in-house legal experience.
• Broad experience in corporate law, securities, M&A, and transactional matters.
• Experience supporting corporate governance for public companies.
• Excellent writing, analytical, communication, negotiation, and judgment skills.
• Ability to manage multiple priorities in a fast-paced environment and advise internal clients with practical, commercial guidance.
