Assistant General Counsel

TL;DR

Assistant General Counsel (SaaS/IT Legal): Collaborating with sales, finance, and engineering to structure global deals, draft and negotiate enterprise SaaS agreements and vendor contracts, advise on IP and compliance matters. Focus on managing procurement projects, supporting M&A due diligence, and ensuring corporate policy administration in a fast-paced tech environment.

What you will do

• Collaborate with sales and finance to structure win-win deals for global customers
• Draft, review, and negotiate enterprise technology licenses and SaaS agreements
• Manage procurement projects and negotiate key vendor contracts
• Interface with outside counsel on strategic transactions and regulatory compliance
• Advise engineering on IP matters and support IP applications
• Handle contracts administration, renewals, and corporate policy compliance
• Support commercial and IP due diligence for financings and M&A

Requirements

• Licensed to practice law in Virginia or ability to obtain admission within 6 months
• J.D. from accredited U.S. law school (or foreign equivalent with U.S. LLM)
• 8+ years (10+ preferred) in commercial contract negotiations and/or corporate-transactional practice; law firm experience a plus
• Superior communication and organizational skills; ability to work autonomously

Nice to have

• Experience in IT/software commercialization and AIOps/machine learning
• Expertise in information security/privacy, government contracting, or M&A
• International deal experience and work with VC/PE-backed companies
