What you will do

• Provide paralegal support for transactional finance matters including secured/unsecured lending, credit facilities, and refinancing
• Draft, review, and revise documents like loan agreements, promissory notes, security agreements, guaranties, and closing certificates
• Prepare closing checklists and transaction timelines; coordinate closings with attorneys, clients, lenders, borrowers, and third parties
• Conduct due diligence (UCC, lien, judgment, bankruptcy searches); review and summarize materials
• Prepare corporate formation documents, resolutions, certificates of good standing, and incumbency certificates
• Assist with filing UCC-1 statements, perfection of security interests, and post-closing matters
• Maintain electronic and physical transaction files; communicate with clients and third parties

Requirements

• Strong experience in transactional law, particularly finance matters
• Excellent attention to detail and ability to manage multiple matters in fast-paced, deadline-driven environment
• Proficiency in drafting/reviewing transactional documents and conducting due diligence
• Must work on-site in Baltimore, MD
