What you will do

• Draft and negotiate agreements with sophisticated fund managers and distribution agents.
• Review private fund offering materials, partnership agreements, and related legal documentation.
• Coordinate with outside counsel on regulatory, corporate, and fund investment matters.
• Develop and execute new business lines, structures, and strategic initiatives.
• Drive legal projects to ensure timely and budget-compliant delivery.

Requirements

• 2-3 years of fund formation experience within the Investment Management space (Private Equity or Hedge Funds).
• Qualified in Luxembourg, the U.K., or a member in good standing of the New York bar.
• Strong knowledge of Luxembourg corporate structures and regulatory frameworks.
• Proactive attitude with the ability to manage complex concepts efficiently.
• Excellent interpersonal and communication skills.

Nice to have

• Knowledge of the Investment Company Act of 1940, Investment Advisers Act of 1940, and Securities Act of 1933.
• Experience with fund and cross-border regulations.
