Associate General Counsel (SaaS)

TL;DR

Associate General Counsel (SaaS): Partnering directly with Sales, Partnerships, Finance, and Product teams for drafting, review, and negotiation of contracts with software reseller, referral, and strategic partners with an accent on minimizing risk while driving growth. Focus on verifying and updating contract templates, drafting vendor agreements, NDAs, and DPAs, and providing advice on contract suitability.

Location: Hybrid, on-site in Dallas, TX, three days per week.

What you will do

• Partner with Partnerships, Sales, Finance, and Product teams to draft, review, and negotiate contracts for software reseller, referral, and strategic partners.
• Provide advice and guidance on risks and suitability of contracts toward company goals.
• Verify and update contract templates to ensure quality, accuracy, and adherence to industry standards.
• Draft, review, and negotiate vendor agreements, NDAs, and DPAs.

Requirements

• J.D. from an ABA-accredited school and bar membership in at least one U.S. jurisdiction.
• 3-5 years of relevant in-house or law firm experience.
• Strong written and oral communication skills.
• Familiarity with and interest in technology and software-related concepts (SaaS in particular) and software reseller agreements.
• Ability to work in a fast-paced, deadline-oriented global environment.

Nice to have

• Understanding of and experience with the B2B payments industry and payment processing contracts.
• Ability to summarize key legal and business issues and propose practical alternatives.
