Associate Commercial Counsel

TL;DR

Associate Commercial Counsel (SaaS): Negotiating and closing complex high-value B2B SaaS customer contracts with an accent on legal risk management and revenue enablement. Focus on enterprise agreements, data protection compliance, cross-border transactions, and contract standardization.

Location: Hybrid in Dallas, TX. Eligible to work in Texas (Texas bar membership a plus but not required)

What you will do

• Lead negotiations for enterprise SaaS agreements including MSAs, Order Forms, SOWs, DPAs, and amendments.
• Partner with Sales, Revenue Operations, Deal Desk, Finance to drive contracts to signature efficiently.
• Enforce commercial contracting playbook, assess risks, and provide practical alternatives.
• Support global contracting with cross-border elements like data protection and governing law.
• Advise on SaaS-specific issues such as liability, indemnities, SLAs, and regulatory compliance.
• Contribute to contract templates, process optimization, and handle high-volume matters under tight deadlines.

Requirements

• Juris Doctor (JD) from accredited U.S. law school and active license to practice law in at least one U.S. jurisdiction
• 5–8 years relevant legal experience focused on commercial contracting and enterprise B2B agreements
• In-house experience at B2B SaaS company in fast-paced environment
• Strong negotiation skills, commercial judgment, and ability to work under pressure with senior stakeholders
• Understanding of SaaS issues like data protection, security, liability, and indemnities

• Experience with PE/VC-backed companies
