Director, Legal Affairs (Litigation)

Location: San Jose, California, US; travel to project sites, courts and hearings as needed; some meetings outside U.S. business hours.

What you will do

• Manage the North America disputes docket end to end, including litigation, arbitration, pre-suit disputes and adversarial regulatory proceedings.
• Lead high-exposure matters involving major sites and projects, securities and shareholder issues, public-company disclosure, commercial, construction, energy, employment, bankruptcy and land-use disputes.
• Build and manage the outside counsel panel, including firm selection, fee negotiations, alternative fee arrangements, staffing, budgets and performance reporting.
• Manage litigation holds, evidence preservation, custodian tracking, eDiscovery vendors, privilege, production oversight and business-team training.
• Set standards for matter intake, early case assessment, budgeting, reporting, escalation and settlement authority; advise Finance, auditors, senior management, the Board and Audit Committee on exposure and reserves.
• Lead subpoenas, regulatory inquiries, government information requests, internal investigations and insurance claims while partnering with project, construction, energy, procurement, HR and finance teams to reduce dispute risk.

Requirements

• J.D. from an ABA-accredited law school and active bar membership in good standing. California admission is preferred; attorneys admitted in another U.S. jurisdiction should be eligible to register as Registered In-House Counsel in California.
• 12+ years of complex commercial litigation experience at a leading law firm and/or as in-house litigation counsel, including experience as the senior-most litigation lawyer in a function, a practice group leader or lead partner for a major client portfolio.
• End-to-end ownership of matters in state and federal court and arbitration, including dispositive motions, discovery, expert work and first- or second-chair trial or arbitration hearing experience.
• Experience managing outside counsel economics, including panel selection, rate and fee negotiation, budget discipline and staffing oversight.
• Experience advising executives and boards on exposure, reserves and resolution.
• Experience building litigation infrastructure such as preservation programs, matter intake, reporting and authority thresholds.
• Excellent writing and oral advocacy skills, high self-motivation and a collaborative style.
• Ability to work with colleagues across Asia and North America, attend some meetings outside U.S. business hours and travel as needed.
• In-house experience at a public company or disputes experience in energy, power, construction, real estate or infrastructure.
• Experience with securities litigation, insurance coverage, bankruptcy and creditor disputes, employment litigation, land use and zoning, internal investigations or regulatory inquiries.
