Director, Legal (SaaS)

Location: Boston or remote within the US; occasional travel may be required. Must be authorized to work in the United States on a permanent, ongoing basis without current or future visa sponsorship.

What you will do

• Lead in-house legal support across commercial contracts, employment, privacy, open source, corporate governance, and strategic matters.
• Draft, review, and negotiate customer, partner, reseller, vendor, NDA, order form, SaaS, licensing, data processing, and employment agreements.
• Own contract templates, playbooks, standard documents, policies, and procedures, including AI, data, and security provisions.
• Advise on privacy, data security commitments, GDPR, customer security reviews, open source licensing, contributor agreements, and open source foundations.
• Manage outside counsel and the legal budget for specialized matters, supporting corporate transactions, board materials, equity administration, and entity management.
• Use Ironclad, AI tools, and process improvements to make legal operations faster and more accurate.

Requirements

• JD from an accredited law school and an active license to practice in at least one US state; ability to register as in-house counsel in Massachusetts.
• 7–10 years of commercial legal experience at a law firm, in-house, or both.
• Deep expertise drafting and negotiating enterprise software agreements, including SaaS, licensing, data processing, and partner agreements.
• Ability to work as a team of one, own matters end to end, and engage outside counsel when needed.
• Sound judgment regarding legal, commercial, and reputational risk, with practical advice that keeps deals moving.
• Strong organization and ability to manage multiple matters across teams and time zones.
• Clear, plain-English communication with engineers, sales leaders, and executives.

Nice to have

• In-house experience at a software or SaaS company.
• Experience with open source licensing.
• Experience with privacy and AI regulation, including GDPR and the EU AI Act.
• Exposure to corporate and transactional work, including financings, equity, or M&A.
• Experience implementing contract management or AI legal tools.
