Assistant General Counsel, Transactions

Location: Remote in the United States or Canada; optional offices in Washington, DC, New York City, Denver, and San Francisco; coworking pod in Seattle. Preference for New York or Washington, DC. Travel of 5–10% is required for team offsites, transaction meetings, industry conferences, and in-person legal events.

Base salary: $220,000–$270,000, based on experience. Discretionary annual performance bonus and stock options are also offered.

What you will do

• Lead legal workstreams for tax equity, preferred equity, transferable tax credit, and forward purchase transactions from term sheet through closing.
• Support construction, bridge, back-leverage, warehouse, and corporate-level debt financings, including credit agreements, intercreditor arrangements, borrowing base mechanics, and lender consents.
• Conduct legal diligence across project documents, tax credit qualification, insurance, sponsors, and counterparties, and summarize risks and mitigants for investment committee materials.
• Manage post-closing funding conditions, amendments, consents, waivers, reporting obligations, and portfolio legal work.
• Manage outside counsel, standardize forms and transaction processes, and maintain playbooks, checklists, and closing sets.
• Develop and apply AI tools with legal innovation, operations, product, and engineering teams for diligence, drafting, document comparison, closing, and portfolio management.

Requirements

• 3–6 years of transactional experience, with significant experience in projects, energy, or infrastructure finance at a leading law firm.
• Hands-on experience with tax equity, transferable tax credit transactions, and debt financings for renewable energy and infrastructure projects, including drafting from term sheets, negotiating full document sets, and driving transactions to closing with limited supervision.
• Working fluency in the federal energy tax credit framework, including Sections 45, 48, 45Y, 48E, 45X, and 6418, qualification, bonus adders, and recapture risk.
• Demonstrated experience using AI in legal practice, including adopted or built tools and workflows and the ability to assess what worked and what did not.
• Ownership, pragmatic risk-weighted judgment, and sound escalation judgment.
• Clear written and verbal communication with lawyers, investment principals, business partners, and counterparty counsel.
• Ability to manage several transactions simultaneously, build processes in ambiguous environments, and respond to questions across the business.
• JD and admission in good standing to the bar of at least one U.S. state, with eligibility for in-house registration where required. New York or DC admission is preferred.
