Sr. Counsel, Commercial (Healthcare & Life Sciences)

Location: Chicago, Illinois; Denver, Colorado; Mountain View, California; New York City, New York; San Francisco, California; Seattle, Washington; or Washington, D.C.

Salary: $186,900–$302,300 USD annually, depending on pay zone and location.

What you will do

• Lead complex commercial transactions from initial engagement through signature, including SaaS master service agreements, order forms, statements of work, and security and privacy terms.
• Negotiate healthcare-specific agreements, including business associate agreements and healthcare data privacy and security provisions.
• Partner with Sales, Deal Desk, Finance, Security, Privacy, Product, and other stakeholders to resolve deal issues.
• Advise on data privacy, information security, artificial intelligence, intellectual property, open source software, and healthcare regulatory matters.
• Improve contract templates, playbooks, fallback positions, guidance, and HLS-specific contracting processes.
• Use AI tools and help develop AI-assisted workflows for contract review, research, drafting, and knowledge management.

Requirements

• 7+ years of relevant technology transactions experience in a law firm and/or in-house legal department.
• Significant experience drafting, negotiating, and closing complex sell-side software, SaaS, and cloud transactions with enterprise customers.
• Experience supporting healthcare, life sciences, or other heavily regulated industries, including working knowledge of HIPAA and business associate agreements.
• Familiarity with data privacy, information security, intellectual property, open source software, AI-related contract terms, and data-use provisions.
• Juris Doctor and active bar membership in good standing in at least one U.S. jurisdiction.
• Ability to independently manage sophisticated negotiations, prioritize multiple matters, and provide practical legal advice.
