Senior Commercial Counsel (AI-Powered Software)

Location: Hybrid work between a home office and the American Fork, Utah office, United States

Base salary: $175,000–$200,000 per year, plus eligibility for an annual performance-based corporate bonus.

What you will do

• Advise senior leaders and cross-functional stakeholders on commercial legal risks, compliance, and business strategy.
• Lead legal support for complex customer transactions across on-premises, SaaS, and hybrid software platforms, including direct and indirect sales channels.
• Draft, review, and negotiate SaaS, licensing, reseller, partner, professional services, and other commercial agreements.
• Manage legal and commercial risk while supporting deal velocity and resolving escalated legal matters.
• Develop training, guidance, and enablement tools for sales and other internal business partners.
• Drive improvements to contract templates, legal workflows, compliance processes, policies, and governance frameworks.

Requirements

• Qualified attorney admitted to practice in one or more U.S. states and in good standing with one or more state bars.
• 5+ years of in-house counsel experience; law firm experience is helpful but not required.
• Substantial software licensing experience covering enterprise transactions, on-premises licensing, SaaS/cloud offerings, channels, open-source software, and software development practices.
• Working knowledge of data privacy, security requirements, revenue recognition rules, internal controls, and risk management.
• Strong negotiation, analytical, communication, presentation, time management, and problem-solving skills.
• Experience using AI tools in legal responsibilities and the ability to work independently in a fast-paced environment.
