Commercial Counsel (Healthcare Technology)

Location: USA; remote and office flexibility may be available, with periodic travel to New York and other locations for company and team meetings.

Salary/hourly rate range: $195,500–$230,000, subject to location, experience, and education.

What you will do

• Structure, draft, and negotiate complex sales, vendor, strategic partnership, technology, SaaS, licensing, consulting, MSA, NDA, order form, service description, and HIPAA BAA agreements.
• Own assigned matters from intake through execution, manage competing deadlines, and advise sales, finance, procurement, business development, product, privacy, and compliance teams.
• Provide practical guidance on AI, technology licensing, data rights, commercial terms, and go-to-market activities.
• Improve contract templates, clause libraries, playbooks, CLM tools, and technology-enabled contracting workflows.
• Use approved AI and legal technology tools for drafting, contract review, and contract information access while maintaining confidentiality and accuracy.
• Collaborate with internal legal colleagues, outside counsel, and supplemental legal resources on complex transactions and related matters.

Requirements

• JD degree from an accredited law school and an active license in good standing to practice law in at least one state bar.
• 4–6 years of relevant legal experience at a leading law firm and/or in-house, including substantial experience with technology transactions and enterprise SaaS agreements.
• Hands-on experience with legal operations, playbooks, clause libraries, workflows, AI tools, or contract review technology.
• Strong contract drafting, negotiation, communication, business judgment, and matter-management skills.
• Ability to work through ambiguity, manage competing priorities, make pragmatic risk decisions, and collaborate with Sales, Finance, Product, and other business partners.
