Legal Counsel / IT Legal Specialist (IT Outsourcing & B2B)

Location: Poland or Cyprus; remote, part-time

IT services and outsourcing company providing software development solutions for clients across the US and Europe.

What you will do

• Draft, redline, negotiate, and manage the full lifecycle of international MSAs, SOWs, NDAs, and SLAs.
• Prepare IP Assignment Agreements, NDAs, Non-Compete Agreements, and Non-Solicitation Agreements for team members.
• Advise Sales and Management on contract risk, deal structures, and international commercial law.
• Embed GDPR and CCPA requirements into contracts and operational processes.
• Maintain a centralized contract registry and support renewals and dispute management.
• Use AI tools to accelerate drafting, redlining, and legal research while reviewing outputs for legal accuracy and confidentiality.

Requirements

• 2–3+ years of experience as a Legal Counsel or In-House Lawyer in the IT industry, preferably in IT services or outsourcing.
• Hands-on experience drafting and redlining US/EU B2B MSAs, SOWs, NDAs, and SLAs.
• Strong understanding of IP assignment and independent contractor engagement models.
• Working knowledge of GDPR and baseline knowledge of CCPA requirements for contracts and data flows.
• Upper-Intermediate English or above, including contract drafting and direct communication with international clients.
• Bachelor’s or Master’s degree in Law, preferably International, Commercial, or Civil Law.

Nice to have

• Experience preparing Data Protection Impact Assessments, Data Processing Agreements, and Privacy Notices.
• CIPP/E or CIPM certification.
• Experience using ChatGPT, Claude, or Copilot for legal work with strong critical-review skills.
