Legal General Counsel (ESOP & Equity Strategy)

Location: Remote, with freedom to work from anywhere. Part-time, 10–20 hours per week.

What you will do

• Lead the creation, implementation, and ongoing management of the ESOP program.
• Advise on Irish ESOT trust structures, equity compensation, valuations, stock options, and grants.
• Coordinate with internal and external legal and tax specialists to maintain compliance with Irish regulations.
• Design equity participation for full-time employees and independent contractors.
• Advise leadership on equity structuring for Series A fundraising and investor expectations.
• Create ESOP policies and educational materials, and establish secondary share sales programs.

Requirements

• Qualified solicitor or lawyer with significant experience in Irish corporate law.
• Proven experience creating, implementing, and managing ESOPs in Ireland.
• Strong knowledge of Irish tax law covering equity compensation, employee trusts, and company valuations.
• Experience advising on equity matters for venture capital fundraising, particularly Series A rounds.
• Ability to explain complex legal and financial concepts to non-legal stakeholders.
• Experience collaborating with finance, HR, leadership, and other cross-functional teams.
