Associate Corporate Counsel (SaaS)

Location: United States; candidates residing in Hawaii are not currently considered. Remote-friendly organization; 10% travel required.

Target compensation: $100,000–$115,000 USD annually, including base salary and bonus.

What you will do

• Review, draft, negotiate, and manage MSAs, software licensing agreements, NDAs, SOWs, SaaS agreements, and vendor and partner contracts.
• Advise Sales and business stakeholders throughout the contract lifecycle.
• Lead and support customer contract negotiations, including customer calls and discussions.
• Identify legal and business risks and provide practical recommendations.
• Collaborate with Finance, Operations, Human Resources, and other internal teams on legal matters.
• Maintain contract templates, playbooks, and legal processes while supporting compliance with company policies and applicable laws.

Requirements

• Juris Doctor degree from an accredited law school.
• Active license to practice law in the jurisdiction of residence.
• At least 3 years of post-licensure legal experience.
• Experience reviewing, drafting, and negotiating commercial contracts for technology companies or technology transactions.
• Strong knowledge of software licensing, SaaS contracts, commercial contracting, contract risk assessment, and negotiation.
• Experience with a CLM system and artificial intelligence, plus strong communication, relationship-building, attention to detail, and business judgment.
