Senior Contract Manager (SaaS)

Location: San Jose, CA or Seattle, WA; hybrid

Annual base pay: $140,200–$210,200

What you will do

• Draft, review, redline, and negotiate SaaS master subscription agreements, cloud service agreements, SOWs, DPAs, NDAs, professional services agreements, security exhibits, reseller agreements, and vendor contracts.
• Lead routine-to-complex negotiations using approved playbooks, fallback positions, and escalation frameworks.
• Review customer and vendor paper, identify risks, and propose commercially practical compromise language.
• Partner with Sales, Customer Success, Procurement, Finance, Revenue Operations, Information Security, and Legal leadership to drive deal execution.
• Triage contract requests, prioritize pipeline work, and provide guidance on contracting terms, approval workflows, and risk mitigation.
• Improve contracting operations through playbooks, CLM workflows, metrics, automated approvals, AI-assisted review, and stakeholder training.

Requirements

• 7+ years of dedicated contract management or commercial transactions experience, including substantial experience in a fast-paced technology company.
• Hands-on experience independently drafting, redlining, and negotiating high-value commercial agreements from inception to execution.
• In-depth knowledge of enterprise SaaS models, licensing mechanics, service level agreements, data security schedules, and data privacy principles such as GDPR and CCPA/CPRA.
• Strong negotiation, written and verbal communication, organization, judgment, and stakeholder collaboration skills.
• Bachelor’s degree, relevant professional certification, paralegal certificate, or equivalent practical experience.

• Experience supporting a global enterprise technology company with high-volume commercial transactions.
• Experience designing contract playbooks, fallback matrices, and automated approval workflows.
• Familiarity with AI-assisted contract review and analytics platforms.
• Experience with cross-border transactions and international contracting requirements.
