Associate Director/Director, Commercial Counsel (AI)

Location: Cambridge, MA, USA or San Francisco, CA, USA

Base salary: $232,000–$327,000 USD annually, with bonus potential and early-stage equity.

What you will do

• Draft, negotiate, and manage SaaS, IP licensing, vendor, partnership, and R&D collaboration agreements.
• Provide practical legal counsel to business, product, science, engineering, and operations stakeholders.
• Advise on regulatory and ethical considerations related to AI in scientific and commercial applications.
• Build scalable legal systems and workflows using AI tools and automation.
• Support strategic transactions and partnerships while developing expertise in emerging technology domains.

Requirements

• J.D. and active membership in at least one U.S. state bar in good standing.
• 6+ years of legal experience, including substantial in-house experience at a technology company.
• Deep experience drafting and negotiating complex commercial contracts.
• Familiarity with AI, SaaS, and/or scientific R&D business models.
• Ability to work independently, manage multiple priorities, and communicate with technical and non-technical teams.

Nice to have

• Experience with export-controlled technologies or CFIUS considerations.
• Experience supporting R&D teams in life sciences, materials, or climate technology.
• Experience building legal infrastructure or scalable processes from scratch.
• Comfort working with technical subject matter and scientific research environments.
