Assistant General Counsel, Commercial Contracts (AI, Data & IP)

Location: Remote - US; work from anywhere in the United States

Salary: $225,000–$250,000 plus annual bonus

What you will do

• Own, draft, and negotiate AI provisions covering training and improvement rights, de-identification, aggregation, model and output ownership, transparency, explainability, performance, and AI-related risk.
• Negotiate data use terms, BAAs, data processing agreements, security exhibits, retention and deletion provisions, subcontractor restrictions, and PHI-related terms.
• Structure IP ownership, license scope, feedback and improvement rights, open-source terms, third-party model licensing, trade secret protections, and trademark matters.
• Draft and close customer MSAs, SOWs, SaaS and data agreements, reseller arrangements, vendor and technology agreements, NDAs, and government subcontracts.
• Partner with Sales, Client Success, product, engineering, Privacy, Compliance, and Information Security on active deals, product launches, and contract standards.
• Build templates, fallback positions, playbooks, FAQs, and field guidance while advising the business on risk and negotiation strategy.

Requirements

• JD from an accredited law school and active membership in good standing in at least one U.S. state bar.
• 8+ years of commercial contracting experience, including substantial in-house experience.
• Demonstrated experience negotiating AI and data rights, including training rights, data-use limitations, and model and output ownership.
• Working knowledge of HIPAA, BAAs, de-identification standards, PHI handling, and health data privacy in a vendor or business associate context.
• Substantive software or data IP experience covering licensing, ownership structuring, and open source.
• Healthcare industry experience and a track record of direct, client-facing work with Sales or Client Success teams.

Nice to have

• Experience selling to or buying from health plans and familiarity with payer procurement and security reviews.
• Exposure to CMS, state Medicaid, federal healthcare subcontracts, and flow-down terms.
• Experience building contract templates, playbooks, or a deal desk.
• Familiarity with emerging AI governance frameworks in regulated industries.
