Senior Corporate Counsel

Location: Chicago, Illinois / Remote; hybrid work options are available. Must be licensed to practice law in Illinois.

Salary: $180,000–$190,000 per year

What you will do

• Own the commercial contracting function, including drafting, reviewing, negotiating, interpreting, and enforcing commercial, data licensing, SaaS, vendor, and services agreements.
• Direct intellectual property matters covering trademarks, copyrights, trade secrets, licensed data rights, IP ownership, licensing, clearance, and infringement risks.
• Lead legal process improvement initiatives involving templates, contract workflows, document management systems, and internal training.
• Support M&A due diligence, transaction documentation, disclosure schedules, ancillary agreements, and post-close integration workstreams.
• Advise on U.S. and international privacy and data protection requirements and partner with IT, Security, and Product to mitigate risks.
• Support AI governance, policy development, outside counsel management, employee-related legal matters, and regulatory monitoring.

Requirements

• Illinois license to practice law required.
• J.D. from an accredited law school and a bachelor's degree.
• 5+ years of legal experience in a corporate or law firm setting, including commercial transactions counseling.
• Experience drafting transactional documents, especially commercial, licensing, vendor, services, and other business-to-business agreements.
• Ability to independently manage high volumes of projects, identify legal and business issues, and provide practical, business-focused advice.
• Strong written communication, organization, prioritization, discretion, confidentiality, and business or legal technology skills.
