Lead Legal Counsel, Corporate (SaaS)

Location: Remote, United States. The role is remote and the listed salary range applies to US residents only.

Base salary: $168,000–$285,600 USD annually.

What you will do

• Own securities law and public company reporting matters, including SEC filings, quarterly reports, earnings releases, proxy statements, investor presentations, and other disclosures.
• Advise on corporate governance, board and committee processes, stockholder meetings, equity plans, executive compensation, and related compliance requirements.
• Provide legal guidance on entity formation, maintenance, reorganizations, intercompany agreements, and wind-downs across jurisdictions.
• Support M&A and strategic transactions through diligence, documentation, approvals, signing, closing, and post-closing integration.
• Manage outside counsel, assess legal and business risks, and present practical recommendations to senior stakeholders.
• Build playbooks, checklists, templates, and workflows, and train legal team members and cross-functional partners.

Requirements

• 6+ years of relevant legal experience, including law firm experience advising US-listed public companies on securities law, corporate governance, and public company reporting.
• Juris Doctor degree and active admission to a US state bar.
• Ability to independently manage complex legal matters, cross-functional projects, competing priorities, and limited-direction work.
• Strong written and verbal communication skills, including the ability to explain complex legal issues to non-lawyers and senior leaders.
• Experience improving legal processes, templates, policies, or scalable legal resources.
• Ability to collaborate in a remote, globally distributed team while meeting US location eligibility requirements.

• In-house experience at a public SaaS, software, or open core company.
