Counsel - Commercial Transactions (Healthcare)

Salary: USD 132,700–221,100 annually, depending on experience and geographic location; eligible for an annual bonus plan.

What you will do

• Draft, review, negotiate, and manage consulting, services, technology, software, SaaS, licensing, data, and vendor agreements.
• Advise Procurement and business stakeholders on transaction structure, risk allocation, compliance, and contract governance.
• Assess third-party legal and contractual risks and support vendor dispute resolution.
• Develop contract templates, playbooks, negotiation guidance, and standard provisions.
• Collaborate with global legal, Compliance, Privacy, Information Protection, IT, Procurement, and operational teams.
• Support strategic corporate initiatives, manage specialized outside counsel, deliver training, and improve contracting processes.

Requirements

• Juris Doctor degree and an active license in good standing in at least one U.S. jurisdiction.
• 5+ years of experience negotiating and drafting commercial contracts, including vendor, procurement, technology, consulting, and services transactions.
• Experience with technology transactions, intellectual property, privacy considerations, and complex commercial arrangements.
• Strong contract drafting, negotiation, communication, analytical, and relationship management skills.
• Ability to evaluate legal risk, provide practical business-focused advice, collaborate across a matrixed organization, and manage multiple priorities.
• Experience in healthcare, pharmacy, or another highly regulated industry is preferred.
