Senior Corporate Counsel

Location: Remote; admission to and good standing with at least one U.S. state bar required

What you will do

• Provide day-to-day legal counsel and strategic guidance on corporate and general legal matters.
• Support corporate governance, board meetings, corporate records, entity management, and regulatory and SEC filings.
• Assist with M&A due diligence, transaction support, and coordination with internal stakeholders and outside counsel.
• Draft, review, negotiate, and advise on revenue, vendor, partnership, and other commercial agreements.
• Advise Sales, Product, Finance, and business leaders on transactions, product launches, strategic partnerships, and legal risk.
• Manage outside counsel on litigation, disputes, trademarks, intellectual property, and other specialized matters while improving legal processes and workflows.

Requirements

• Juris Doctor degree from an accredited law school.
• Admission to and good standing with at least one U.S. state bar.
• 5+ years of relevant legal experience, including meaningful in-house experience.
• Experience in a technology company and with corporate governance, board matters, M&A due diligence, SEC filings, equity plans, and corporate legal matters.
• Experience drafting, reviewing, and negotiating commercial contracts.
• Strong business judgment, negotiation skills, executive presence, communication, organization, and ability to manage multiple priorities independently.

Nice to have

• Law firm experience in addition to in-house experience.
• Familiarity with HIPAA, privacy, or healthcare-related legal matters.
