Securities, Finance and Corporate Governance Senior Attorney

Location: Rosemead, California, United States; hybrid work at an SCE facility with remote work on remaining days. Employees are generally required to work and reside in California.

What you will do

• Provide legal advice on financing, securities, corporate governance, and complex transactional matters.
• Support capital markets, bank financing, securitization, equity, debt, and credit facility transactions.
• Advise on federal and state securities laws, corporate governance requirements, and legal and business risks.
• Structure, draft, review, negotiate, and oversee complex transaction agreements.
• Coordinate with business stakeholders, senior management, outside counsel, financial advisors, trustees, regulators, and other third parties.
• Develop legal strategies and represent SCE in significant business, legal, regulatory, and government matters.

Requirements

• Juris Doctor degree from an accredited law school.
• At least eight years of legal practice experience in a law firm, corporate, or government setting.
• Current membership in good standing of the California State Bar, or the ability to become accredited.
• Ability to work independently, manage multiple assignments under pressure, identify risks, and provide practical business-focused legal guidance.
• Ability to work and reside in California and report to an SCE facility under the hybrid work arrangement.

Nice to have

• Significant experience with the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Experience with capital markets, bank financing, equity and debt securities, securitization, and revolving or term loan facilities.
• Strong drafting, negotiation, analytical, communication, and business-acumen skills.
• Experience advising senior management and working with non-lawyer stakeholders.
