What you will do

• Manage SEC filings, securities compliance, public disclosures, insider reporting, and material event disclosures.
• Support corporate governance, board and committee matters, disclosure controls, Regulation FD compliance, and insider trading policy administration.
• Support equity, debt, registered, private, and exempt securities offerings, including transaction structuring and negotiation of related documents.
• Manage Nasdaq listing compliance, filings, notifications, shareholder approval requirements, and communications with Nasdaq.
• Draft and negotiate commercial and financial agreements, including underwriting, brokerage, custody, investment advisory, and technology service agreements.
• Support M&A, strategic partnerships, cross-border corporate structures, subsidiary maintenance, and day-to-day legal matters.

Requirements

• J.D. or LL.M. degree from an accredited law school and active bar membership in good standing.
• 4–7 years of experience at a leading law firm or in-house legal department.
• Strong foundation in corporate and securities law.
• Excellent communication, drafting, and project management skills.
• Pragmatic, detail-oriented approach with the ability to balance legal risk and business goals.
• Work location: El Segundo, California, United States.

Nice to have

• Experience advising on fund structures, investment products, registered or private fund vehicles, and cross-border investment structures.
• Experience with Regulation D and Regulation S offerings.
• Prior in-house experience at a public company or financial institution.
• Fluency in Mandarin and English.
• Interest in securities regulation, capital markets, and financial services legal operations.
