Transactions Counsel (M&A)

What you will do

• Lead legal support for M&A transactions, investments, joint ventures, and strategic partnerships from structuring and due diligence through closing.
• Advise business, Finance, Tax, and other teams on transaction structures, legal risks, and contractual protections.
• Draft, review, and negotiate acquisition, investment, joint venture, partnership, supply chain, licensing, technology service, and collaboration agreements.
• Manage legal due diligence, transaction workstreams, approvals, closing conditions, deliverables, and post-closing obligations.
• Support cross-border transactions, corporate structuring, securities law, disclosure, shareholder approval, and capital markets financing matters.
• Provide support on corporate governance, entity matters, commercial contracts, compliance, and scalable legal processes for a U.S. public company.

Requirements

• J.D. or LL.M. degree from an accredited law school and active bar membership in good standing.
• 4–7 years of experience at a leading law firm or in-house legal department.
• Hands-on experience structuring, drafting, negotiating, and executing M&A, investment, strategic partnership, or significant commercial transactions.
• Ability to support commercial agreements, corporate governance, and general corporate legal matters.
• Excellent communication, drafting, and project management skills, with a pragmatic and detail-oriented approach.

Nice to have

• Fluency in Mandarin and English.
• Experience with U.S. securities laws, public company compliance, SEC filings, disclosure requirements, and corporate financings.
• Experience with M&A, financings, cross-border transactions, or in-house legal work at a public or high-growth company.
