Assistant General Counsel, Corporate

What you will do

• Lead preparation, review, and coordination of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, registration statements, and other securities disclosures.
• Advise executives and cross-functional stakeholders on SEC regulations, Nasdaq requirements, Regulation FD, insider trading restrictions, Rule 10b5-1 plans, and Sarbanes-Oxley compliance.
• Support the General Counsel, Board of Directors, and board committees on governance, corporate records, subsidiary maintenance, equity plans, and executive compensation compliance.
• Draft, review, and negotiate commercial agreements and advise on privacy, data protection, employment, trade compliance, litigation management, and general corporate matters.
• Maintain and improve compliance programs, policies, training, disclosure controls, and internal controls.
• Act as a backup to the General Counsel on critical legal, governance, and compliance matters.

Requirements

• Juris Doctor degree from an accredited law school.
• Active membership in at least one U.S. state bar.
• 12+ years of legal experience, including substantial public company securities law and SEC reporting experience.
• Strong written, analytical, communication, organizational, and problem-solving skills.
• Ability to independently manage sophisticated legal matters, exercise sound business judgment, and work effectively across functions.
• Ability to operate effectively in ambiguous, rapidly changing situations while balancing speed with legal soundness.

• Combination of major law firm and in-house public company experience.
• Experience with publicly traded technology or semiconductor companies.
• Experience in privacy, employment law, trade compliance, litigation management, stock administration, executive compensation, or Section 16 compliance.
• Experience supporting board and committee governance processes.
