Senior Commercial Counsel (Blockchain)

Location: Remote - United States

Annual salary: $186,000–$213,525, plus equity and a 15% annual salary bonus opportunity.

What you will do

• Advise senior finance and business development stakeholders on deal structures, risk allocation, approval paths, and practical legal options.
• Draft, negotiate, and close complex commercial, SaaS, technology, vendor, licensing, data, and strategic-partnership agreements from term sheet through signature.
• Coordinate cross-functional stakeholders around priorities, decisions, tradeoffs, and next steps.
• Build scalable contract processes, clause libraries, playbooks, and self-service legal resources.
• Identify recurring legal and operational issues and develop sustainable process improvements.
• Use AI and other technology for legal review, drafting, research, and workflow management with appropriate human oversight.

Requirements

• 6–10 years of commercial legal experience in technology transactions, SaaS agreements, corporate law, mergers and acquisitions, funds, and/or finance.
• Experience leading complex commercial negotiations from term sheet through final execution.
• Strong commercial judgment and the ability to balance legal risk with business objectives.
• Experience managing multiple cross-functional projects under tight deadlines and building trusted client relationships.
• Excellent written, verbal communication, and negotiation skills, including the ability to explain complex legal issues to non-lawyers.
• Efficient and judicious use of AI tools, with sound judgment about when human review is essential.

• Experience with employment matters, stock option plans, intellectual property, and other broad in-house legal matters.
• Experience in a hyper-growth, technology-focused company.
