Vice President, Corporate Legal & Compliance

Location: San Mateo, California, United States

Base salary: $270,000–$405,000 per year

What you will do

• Advise on securities law, corporate governance, regulatory compliance, and public-company obligations.
• Prepare and review SEC and Nasdaq filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, S-8s, Forms 4, Section 16 filings, and stock-based compensation plans.
• Lead insider trading compliance, Rule 10b5-1 plan reviews, annual stockholder meeting planning, and coordination with proxy advisers and investor relations.
• Support board and committee materials, corporate records, subsidiary governance, legal entity management, and global entity compliance.
• Lead or support enterprise risk management, business continuity, compliance training, whistleblower policies, information security compliance, and global HR compliance projects.
• Partner with Finance, Treasury, Tax, HR, Corporate Development, and Legal teams on M&A, strategic transactions, policies, and other corporate initiatives.

Requirements

• Juris Doctor degree from an accredited law school and active state bar membership in good standing.
• 15+ years of relevant experience, including at least 8 years in-house at publicly traded technology companies.
• Strong securities, corporate governance, corporate law, financial reporting, and equity plan experience supporting a U.S. public company.
• Experience providing strategic legal leadership, managing compliance programs, and advising senior executives and cross-functional business teams.
• Excellent communication, judgment, organizational, problem-solving, and confidentiality skills, with the ability to manage multiple projects in a fast-paced environment.
