Senior Commercial Counsel (AI Infrastructure)

Location: New York, United States; on-site

Salary: $275,000–$330,000 per year

What you will do

• Own customer contracting across MSAs, service orders, NDAs, DPAs, and BAAs.
• Negotiate directly with customers and partner with Sales throughout the full deal cycle.
• Lead vendor-side contracting for capex procurement, SaaS tools, consulting arrangements, and related needs.
• Build and maintain contract repositories, template libraries, and contract playbooks.
• Partner with Legal Operations on CLM management, approval workflows, and escalation logic.
• Review operational policies and customer-facing materials, including terms of service, privacy policy, acceptable use, and website terms.

Requirements

• 8+ years of combined law firm and in-house experience negotiating commercial technology agreements.
• Meaningful experience supporting an enterprise sales motion.
• JD and active membership in good standing in New York or California.
• Deep familiarity with SaaS contracting and extensive experience with Ironclad or a similar CLM.
• Ability to build templates and playbooks from scratch.
• Working knowledge of privacy and regulatory data protection frameworks, including GDPR and HIPAA, with sound commercial judgment.

• Experience with infrastructure, compute, or datacenter supply agreements.
